1. Acceptance of Terms

By accessing or using any services provided by Shenzhen Huatian Power Technology Co., Ltd. (hereinafter referred to as "we," "us," or "the Company"), you agree to be bound by these Terms of Service. If you are using the services on behalf of a company or other entity, you represent and warrant that you have the authority to accept these terms on behalf of that entity.

If you do not agree to any part of these terms, please do not access or use our services.

2. Service Description

We provide AI-powered intelligent customer service SaaS solutions, including the following services:

• AI Customer Service SaaS System: An intelligent customer service platform powered by artificial intelligence, supporting multi-channel integration
• Multi-Platform Integration: Seamless connectivity with Amazon via Selling Partner API (SP-API)
• AI Auto-Reply: Intelligent response system based on natural language processing for buyer-seller messaging
• Data Analytics: Customer service data analysis and reporting capabilities
• Technical Support: Professional technical support and after-sales service
• API Access: API interfaces supporting custom development and system integration

2.1 Amazon SP-API Usage Restrictions

Our application integrates with Amazon SP-API under the Amazon Solutions Provider Agreement. You acknowledge and agree that:

• You will not use our service to facilitate any violation of Amazon's policies, including but not limited to Amazon's Acceptable Use Policy (AUP) and Data Protection Policy (DPP)
• You will not attempt to access data beyond the permission scopes you have authorized
• You will not use our service to scrape, copy, or redistribute Amazon data for purposes outside of customer service automation
• You will not use our service in any manner that assists or encourages violation of any agreement between Amazon and its sellers
• We reserve the right to suspend or terminate your access if we detect misuse of SP-API data or violation of Amazon platform rules

3. Account Responsibilities

When using our services, you are required to create an account. You are responsible for the following regarding your account:

• Providing accurate, complete, and up-to-date registration information
• Safeguarding your account password and login credentials
• Taking responsibility for all activities conducted under your account
• Notifying us immediately upon discovering any unauthorized use of your account
• Not transferring or authorizing your account to any third party

We reserve the right to suspend or terminate your account if we discover any violation of these terms.

4. Payment Terms

Our services are provided on a subscription-based pricing model. The specific payment terms are as follows:

• Subscription Model: Service fees are charged on a subscription basis. Specific pricing is subject to the order page
• Currency: All subscription fees are billed in United States Dollars (USD)
• Auto-Renewal: Subscriptions will automatically renew at the end of each billing cycle unless you cancel before the renewal date
• No Refunds: Paid subscription fees are non-refundable unless otherwise required by law

We reserve the right to adjust service pricing. Price adjustments will take effect in the next subscription cycle, and you will be notified in advance.

5. Limitation of Liability

To the maximum extent permitted by law:

• Our services are provided on an "as is" and "as available" basis, without any express or implied warranties
• We shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of or inability to use our services
• Our maximum aggregate liability shall not exceed the total service fees paid by you in the twelve (12) months preceding the event giving rise to the claim
• We do not guarantee uninterrupted operation or complete error-free performance of the services

6. Intellectual Property

Our services and all content, features, and functionalities thereof (including but not limited to software, text, images, and logos) are the property of the Company or its licensors and are protected by intellectual property laws.

• You may not copy, modify, distribute, sell, or lease any part of our services
• You may not reverse engineer or attempt to extract the source code of our services
• You retain the intellectual property rights to content you upload while using the services
• You grant us a license to use your uploaded content to the extent necessary to provide the services

7. Termination

7.1 Termination by You

You may cancel your subscription and discontinue use of the services at any time through your account settings or by contacting us at support@ht9000.com. Cancellation will take effect at the end of the current billing cycle.

7.2 Termination by Us

We reserve the right to suspend or terminate your services under the following circumstances:

• Violation of Terms: Immediate termination if you breach any provision of these Terms of Service
• Amazon Policy Violation: Immediate termination if your use of our services violates Amazon's Solutions Provider Agreement, AUP, DPP, or any other Amazon platform policies
• Misuse of Data: Immediate termination if we detect unauthorized access, misuse, or redistribution of Amazon SP-API data. We will notify Amazon immediately if we detect any unauthorized access to SP-API data
• Non-Payment: Suspension after fifteen (15) days of overdue payment, termination after thirty (30) days
• Convenience: Termination upon thirty (30) days' prior written notice for any other reason

7.3 Effect of Termination

Upon termination of this agreement:

• Your access to the services will be immediately revoked
• All Amazon SP-API data will be permanently deleted within thirty (30) days
• All other personal data will be deleted in accordance with our Privacy Policy and applicable legal requirements
• Provisions that by their nature should survive termination (including but not limited to intellectual property, limitation of liability, confidentiality, and indemnification) shall remain in effect

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China. Any dispute arising out of or in connection with these terms shall first be resolved through friendly negotiation between the parties. If no resolution is reached through negotiation, either party may submit the dispute to the competent People's Court in Shenzhen.

8. Confidentiality

During the term of this agreement, each party may have access to confidential information of the other party. "Confidential Information" includes but is not limited to:

• Business plans, strategies, financial information, and customer data
• Technical information, algorithms, source code, and system architecture
• Amazon SP-API data, including seller data, buyer data, and order information
• Any information marked as confidential or that a reasonable person would consider confidential

Each party agrees to:

• Protect the other party's confidential information with at least the same degree of care used to protect its own confidential information
• Not disclose confidential information to any third party except as necessary to fulfill obligations under this agreement
• Not use confidential information for any purpose other than as specified in this agreement
• Return or destroy all confidential information upon termination of this agreement

9. Indemnification

You agree to indemnify, defend, and hold harmless Shenzhen Huatian Power Technology Co., Ltd., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the services in violation of these terms
• Your violation of any applicable law or regulation
• Your violation of Amazon's policies, including the Solutions Provider Agreement, AUP, or DPP
• Any third-party claims arising from your use of the services
• Your infringement of any intellectual property or other rights of a third party

10. General Provisions

• Entire Agreement: These terms constitute the entire agreement between the parties regarding the use of the services
• Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect
• Waiver: Our failure to exercise any right under these terms shall not constitute a waiver of such right
• Assignment: You may not assign your rights or obligations under these terms. We may freely assign our rights and obligations
• Amendment: We reserve the right to modify these terms. Updated terms will be published on this page
